**TRUE BLUE AUCTIONS LLC** **ONLINE / ABSENTEE BIDDING TERMS & CONDITIONS – REAL ESTATE AUCTION** **IMPORTANT – LEGAL CONTRACT – READ BEFORE REGISTERING OR BIDDING** By clicking **“REGISTER,” “I AGREE,” “SUBMIT ABSENTEE BID,” “BID,” “BID NOW,”** or any similar button on this website, you: 1. Acknowledge that you have read, understand, and agree to these **Online / Absentee Bidding Terms & Conditions** (“Terms”); 2. Adopt an **electronic signature**, and agree that your click has the same legal effect as signing a written contract; and 3. All online / absentee bids placed through this website will be executed competitively by True Blue Auctions LLC (“Auctioneer”) at the **live onsite real estate auction on Saturday, December 6, 2025** (the “Auction Date”). ### 1. Parties; Nature of These Terms; Agency These Terms are proprietary to **True Blue Auctions LLC** and may not be copied, disclosed, or distributed to anyone except the registered bidder and their legal counsel. These Terms: * Govern **online and absentee bidding** for the real estate auction referenced on this website; * Are a **legal, valid, binding, and enforceable contract** between you (as a Participant/Bidder/Buyer) and Auctioneer; and * Are expressly incorporated into, and form part of, the **contract of sale between Seller and Buyer** for any real property sold at the Auction. Unless specifically stated otherwise in writing, **Auctioneer is the agent for the Seller** and is not the owner or Seller of the property. ### 2. Definitions (Summary) For purposes of these Terms: * **Auction** – The live onsite auction on the Auction Date where the property is actually sold and at which your absentee bids will be executed. * **Auction Site** – The physical location where the Auction is conducted. * **Absentee Bid** – A bid submitted through this website (or written form) to be executed on your behalf during the live Auction up to your maximum. * **Absentee Bidder / Bidder / Participant** – Any person or entity that registers and/or bids (including absentee/online). * **Registered Bidder** – A Bidder whose registration has been accepted and who is approved to bid. * **Buyer** – The Winning Bidder for the real property. * **Hammer Price** – The highest bid accepted by Auctioneer at the **Fall of the Hammer** (when Auctioneer declares the property “sold” or similar). * **Buyer’s Premium** – A percentage of the Hammer Price added to the Hammer Price to determine the **Contract Price**, and paid by Buyer to Auctioneer for Auctioneer’s own account. The percentage is as stated in the Real Estate Terms & Conditions for the specific auction. * **Contract Price / Purchase Price** – Hammer Price **plus** Buyer’s Premium. * **Real Property / Realty** – The real estate and improvements being sold, as more fully described in the auction-specific Real Estate Terms & Conditions and Realty Sales Agreement. * **Realty Deposit** – The deposit amount required from the Winning Bidder, as stated in the auction-specific Real Estate Terms & Conditions. * **Realty Sales Agreement** – The written agreement for purchase and sale of the real property to be signed by Buyer and Seller. * **With Reserve / Reserve** – Seller reserves the right to accept or reject any and all bids prior to the Fall of the Hammer. **Unless expressly stated otherwise in writing, the real property is offered With Reserve.** * **Subject to Seller’s Confirmation** – Seller, in Seller’s sole discretion, may accept or reject the High Bid after the Auction. * **Winning Bid / Winning Bidder** – The highest bid accepted by Auctioneer (and, if applicable, confirmed by Seller) and the bidder associated with that bid. ### 3. Pennsylvania Law; Venue; Jury Waiver The Auction is conducted in the **Commonwealth of Pennsylvania**. All bids, deposits, and payments are deemed made in Pennsylvania. These Terms, the auction-specific Real Estate Terms & Conditions, and any Realty Sales Agreement are governed by **Pennsylvania law** (including statutes of limitation, without regard to conflict-of-laws rules). All claims, disputes, or matters arising out of or relating to: * this website; * these Terms; * any Absentee Bid; * any Auction conducted by Auctioneer; or * any Realty Sales Agreement shall be brought **exclusively** in the state or federal courts sitting in and for **Centre County, Pennsylvania**. By registering or bidding, you: * Irrevocably submit to the **exclusive jurisdiction** of those courts; * Waive any objection based on venue or forum non conveniens; and * **WAIVE ANY RIGHT TO A TRIAL BY JURY** in any such action or proceeding. ### 4. Registration; Online Click Acceptance 4.1 **Registration Required; Discretionary Approval.** You must complete the online registration process, provide all requested information (including identification and proof of funds, if requested), and be **approved** by Auctioneer before you may submit any bids. Auctioneer may accept, reject, suspend, or revoke any registration at any time in Auctioneer’s sole discretion. 4.2 **Electronic Signature / Click Acceptance.** By clicking **“REGISTER,” “REGISTER TO BID,” “I AGREE,” “SUBMIT ABSENTEE BID,” “BID,” “BID NOW,”** or any similar button or checkbox on this site, you: * Adopt an **electronic signature**; and * Agree that such click is the legal equivalent of signing your name to a written contract accepting **all** of these Terms and all auction-specific Real Estate Terms & Conditions referenced on this website. If you do not understand or do not agree, **do not proceed**. ### 5. Absentee Bidding – How It Works 5.1 **Service Only; No Guarantee.** Online / absentee bidding is provided solely as a **convenience**. Auctioneer will use reasonable efforts to execute your Absentee Bids competitively at the **live onsite Auction on Saturday, December 6, 2025**, up to your authorized maximum. However: * Auctioneer does **not** guarantee execution of any Absentee Bid; and * Auctioneer has **no liability** for failure to receive, record, or execute any Absentee Bid, or for errors in doing so. 5.2 **Execution During Live Auction.** Your Absentee Bid authorizes Auctioneer to bid on your behalf in increments determined by Auctioneer, starting at a level Auctioneer deems appropriate and advancing up to (but not exceeding) your maximum bid amount. 5.3 **Priority; Competing Bids.** Onsite bids, phone bids, and other absentee/online bids may compete with and/or outbid your Absentee Bid. In the event of any conflict or tie, **Auctioneer’s record and decision control and are final.** 5.4 **No Bid Retraction.** Once submitted, **you may not retract, withdraw, or reduce** any Absentee Bid. Auctioneer relies on Absentee Bids in conducting the Auction. **Bid retraction is expressly prohibited.** 5.5 **Authority to Execute Realty Sales Agreement (If Authorized).** If the online form or absentee authorization expressly states that you appoint Auctioneer (or its representative) as your attorney-in-fact, then, if you are the Winning Bidder (or Winning Bidder subject to Seller’s Confirmation), you authorize Auctioneer or its representative to sign the Realty Sales Agreement and related documents on your behalf, binding you as if you had signed personally. ### 6. Reserve Status Unless the specific auction is clearly and expressly advertised in writing as **Absolute**, all real property on this site is offered **With Reserve**. Seller and/or Auctioneer may: * Withdraw the property at any time before the Fall of the Hammer; * Reject any or all bids; and/or * Accept or reject any High Bid that is Subject to Seller’s Confirmation. No sale occurs unless and until Auctioneer announces “sold” (or similar) and, where applicable, Seller confirms the High Bid. ### 7. Buyer’s Premium; Contract Price The real property is sold subject to a **Buyer’s Premium** in the percentage stated in the auction-specific Real Estate Terms & Conditions (for example, a stated percentage of the Hammer Price). The **Contract Price / Purchase Price** you must pay is: > **Hammer Price + Buyer’s Premium** > (plus any other amounts identified in the Real Estate Terms & Conditions and Realty Sales Agreement). By bidding, you understand and agree that you are bidding with this Buyer’s Premium in effect. ### 8. “AS IS / WHERE IS / WITH ALL FAULTS”; No Post-Auction Contingencies 8.1 **AS IS.** The real property is sold **AS IS, WHERE IS, WITH ALL FAULTS** as of Auction Day. This includes **all** defects and conditions, visible or hidden, known or unknown, including but not limited to: * structural, mechanical, environmental, and health/safety issues; * zoning, code, and use issues; * radon, lead-based paint, mold, termites, pests, hazardous materials. To the **maximum extent permitted by law**, all **warranties**—express or implied—are **disclaimed**, including any: * Warranty of merchantability; * Warranty of fitness for a particular purpose; * Warranty regarding condition, habitability, or suitability for any use. 8.2 **Due Diligence Is Your Responsibility.** By registering and/or bidding (including absentee), you acknowledge that **you have had a full and fair opportunity** to: * Inspect the property personally or through representatives; * Review public records, zoning, and ordinances; * Obtain any inspections, appraisals, environmental studies, and legal advice you deem necessary. If you choose not to do so, you **voluntarily waive** those opportunities. You expressly agree that you are **not relying** on any statement or representation by Auctioneer or Seller that is not set forth in a signed writing. 8.3 **No Post-Auction Contingencies.** The sale of the real property is **NOT contingent** upon: * financing; * appraisal; * further inspections; * sale of other property; or * your ability to close for any reason. Once the Hammer falls and you are the Winning Bidder (or your High Bid is confirmed by Seller), you are **unconditionally bound** to perform, subject only to the limited conditions (if any) expressly stated in the executed Realty Sales Agreement. ### 9. Value of Property; “True Market Value as of the Fall of the Hammer” As between Seller, Buyer, and Auctioneer, the **Hammer Price** (and, where relevant, the Contract Price including Buyer’s Premium) is the agreed and binding measure of the property’s **true market value as of the Fall of the Hammer** (the “Agreed Market Value”). Seller and Buyer each **irrevocably waive and release** any claim that the property was worth more or less than the Hammer Price/Contract Price at the time of sale, and agree that alleged inadequacy or excessiveness of the price shall **not** be a ground to: * rescind, avoid, or challenge the sale; * seek damages, reformation, or other relief; or * support any claim of mistake, unconscionability, or failure of consideration. ### 10. Realty Deposit; NO Credit/Debit Cards; 4-Day Deadline; Escrow; Criminal Referral 10.1 **Deposit Obligation.** If you are the Winning Bidder (or Winning Bidder subject to Seller’s Confirmation), you are **immediately obligated** to pay the **Realty Deposit** in the amount stated in the auction-specific Real Estate Terms & Conditions. 10.2 **Permitted Forms of Payment – NO CREDIT/DEBIT CARDS.** For **real estate deposits / earnest money**: * **Credit cards and debit cards are NOT permitted** and will not be accepted; * Payment must be made only by: * personal check acceptable to Auctioneer; * certified check, cashier’s check, or bank check; or * bank wire transfer to the account designated by Auctioneer. All checks shall be made payable to **True Blue Auctions LLC** or as otherwise directed in writing. 10.3 **Deadline for Absentee Winners – 4 Calendar Days.** If you win via online / absentee bidding and are not physically present at the Auction Site: * Your Realty Deposit must be **received in collected funds into Auctioneer’s escrow account no later than four (4) calendar days after the Auction Date**; * Failure to do so is a **material breach** and **Buyer Default** under these Terms and under the contract of sale. 10.4 **Escrow / Trust Account.** Auctioneer will promptly deposit the Realty Deposit and any other funds belonging to others into a separate custodial or trust/escrow account maintained in accordance with the **Pennsylvania Auctioneer Licensing and Trading Assistant Registration Act** and applicable regulations. Funds will be disbursed as permitted by these Terms, the Real Estate Terms & Conditions, the Realty Sales Agreement, and Pennsylvania law. 10.5 **Bad Checks; Failure to Fund; Possible Criminal Consequences.** You understand and agree that: * Knowingly issuing or passing a check that will not be honored may constitute the offense of **Bad Checks** under **18 Pa.C.S. § 4105**; and * Intentionally obtaining auction services or real property without paying as agreed may constitute **Theft of Services**, **Theft by Deception**, or other criminal offenses under **18 Pa.C.S. §§ 3922, 3926**, and related statutes. If any check or payment is returned, dishonored, reversed, stopped, or not fully funded, or if you fail to complete a required wire transfer: * Auctioneer and Seller may treat such failure as a **material breach and Buyer Default**; * Auctioneer and Seller may pursue all **civil remedies**, including the full Contract Price, deficiency on resale, and all enforcement costs; and * Auctioneer may **refer the matter to law enforcement and/or prosecuting authorities** for investigation and possible criminal prosecution, without further notice to you. ### 11. Realty Sales Agreement; Closing; Time of the Essence Immediately after the Auction (or promptly upon Seller’s Confirmation), the Winning Bidder shall sign the **Realty Sales Agreement**, which will incorporate these Terms and the auction-specific Real Estate Terms & Conditions. **Time is of the essence** with respect to execution of the Realty Sales Agreement, payment of all deposits, and Closing on the dates and deadlines set forth in the Realty Sales Agreement and Real Estate Terms & Conditions. Failure to sign, fund, or close as required is **Buyer Default**, with remedies as set forth in those documents and in these Terms. ### 12. Recording Prohibition You may **not** record these Terms, your online registration, your Absentee Bid, or any unsigned draft or unexecuted memorandum in any public office. Recording any such document constitutes a **material breach** and cloud on title. Seller and Auctioneer may: * Seek removal or cancellation of any improper recording at your expense; and * Recover all resulting damages, including **reasonable attorneys’ fees and costs**. ### 13. No Stop-Payment Orders; No Chargebacks You **covenant and agree** that you will not: 1. Issue a stop-payment order on any check used in connection with the Auction; or 2. Initiate any credit or debit card chargeback for any auction-related transaction. If you violate this covenant: * You remain fully liable for all amounts due; * Auctioneer and/or Seller may recover all costs and expenses, including **reasonable attorneys’ fees**, incurred in contesting the stop payment or chargeback and in collecting payment; and * You acknowledge that this covenant is a **material condition** of your registration and the issuance of a Bidder Number. ### 14. Indemnification; Release You agree to **defend, indemnify, and hold harmless** Auctioneer, Seller, and their respective affiliates, owners, officers, employees, and agents from and against any and all claims, demands, causes of action, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: * Your presence on or inspection of the property; * Your bidding, purchase, or attempted purchase; or * Your breach of these Terms, the Real Estate Terms & Conditions, or any Realty Sales Agreement. This indemnity does not apply to claims finally adjudicated to have been caused by the willful misconduct or fraud of the indemnified party. ### 15. Buyer Default; Remedies; Costs of Enforcement and Attorneys’ Fees If you default under these Terms, the Real Estate Terms & Conditions, or the Realty Sales Agreement, without limitation: * Seller and/or Auctioneer may exercise all remedies described therein (including retention of deposits as liquidated damages and/or resale with deficiency); and * **You shall be responsible for, and shall reimburse Seller and/or Auctioneer for, all costs and expenses of enforcement and collection**, including: * reasonable attorneys’ fees and expenses; * court costs and filing fees; * collection agency fees; * sheriff, marshal, and process-server fees; and * all appellate and post-judgment collection costs. If you bring any complaint, claim, action, proceeding, or regulatory/licensing complaint involving Auctioneer or True Blue Auctions LLC and such matter is dismissed, withdrawn, or resolved in Auctioneer’s favor, you shall also pay Auctioneer’s **reasonable attorneys’ fees and costs** incurred in defending such matters. ### 16. Private Sale Protection; Bid Pooling; All Sales Final * You may not attempt to purchase the property directly from Seller prior to or during the Auction. If Seller sells or contracts to sell the property within the protection period stated in the Real Estate Terms & Conditions, Auctioneer is entitled to its full commission and Buyer’s Premium as if the property sold at Auction. * Bid pooling, collusion, or bid rigging is illegal. Any such conduct will be referred to law enforcement and/or regulatory authorities, and may result in permanent exclusion from future auctions. * **All sales are final.** No refunds, rescissions, or cancellations are permitted except as expressly provided in the Realty Sales Agreement. To the extent you are entitled to any remedy against Auctioneer or Seller, your **sole and exclusive remedy** is a return of amounts actually paid by you toward the Purchase Price for the specific property at issue. Auctioneer and Seller will not, under any circumstances, be liable for incidental, consequential, special, punitive, or exemplary damages (including lost profits or opportunities). No right to specific performance or other equitable relief exists against Auctioneer. ### 17. Miscellaneous If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. Auctioneer’s decisions regarding Bidder qualification, bid acceptance, increments, conduct of the Auction, and dispute resolution are **final and binding** on all Participants. **BY CLICKING “REGISTER,” “I AGREE,” “SUBMIT ABSENTEE BID,” “BID,” OR “BID NOW,” YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND ACCEPT ALL OF THE ABOVE ONLINE / ABSENTEE BIDDING TERMS & CONDITIONS, AND THAT YOU AGREE TO BE LEGALLY BOUND BY THEM, TOGETHER WITH THE AUCTION-SPECIFIC REAL ESTATE TERMS & CONDITIONS AND THE REALTY SALES AGREEMENT.**
